Terms of Service

1. Agreement to Terms

By accessing or using UMe IDX — including our marketing site, agent and organization tools, and consumer-facing IDX websites powered by our platform (the "Service") — you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a brokerage, team, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

UMe IDX provides software and related services for real estate professionals, including branded IDX websites, MLS-connected property search, lead capture and CRM-style tools, messaging (including email and SMS where enabled), AI-assisted lead features, analytics, and related platform functionality.

UMe IDX is a technology platform. We are not a real estate brokerage, and we do not act as your real estate agent, broker, or fiduciary unless expressly agreed in a separate written agreement.

3. Accounts & Access

To access certain features, you must create an account or be invited to an organization. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Accept responsibility for activity that occurs under your account
• Notify us promptly of any unauthorized use of your account

Organization administrators are responsible for managing member access, roles, and compliance with applicable brokerage and MLS rules.

4. Listings, MLS Data & Accuracy

Property listings and related market data displayed through the Service may be provided by MLS systems and other third-party data sources. Listing information is believed to be reliable but is not guaranteed. Prices, status, availability, square footage, and other details can change without notice and may contain errors or omissions.

You agree to comply with all applicable MLS rules, IDX display requirements, copyright notices, and data-use restrictions. You may not scrape, bulk-download, republish, or misuse listing data except as expressly permitted by the Service and applicable MLS agreements.

5. No Real Estate Advice; Consumer Relationships

Content on the Service — including listing information, market insights, calculators, AI-generated suggestions, and educational materials — is for general informational purposes only and does not constitute real estate, legal, tax, or financial advice.

Any agency, brokerage, or representation relationship you form is solely between you and the applicable real estate professional or brokerage. UMe IDX is not a party to purchase agreements, listing agreements, or other real estate contracts entered into through or as a result of the Service.

6. User Content

You retain ownership of content you submit to the Service ("User Content"), such as profile information, branding assets, notes, messages, and lead-related materials you create. By submitting User Content, you grant UMe IDX a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, and display that content solely as needed to operate and provide the Service.

You represent that you have the rights necessary to submit User Content and that it does not violate any law or third-party rights. You agree not to submit content that is unlawful, misleading, infringing, harmful, or otherwise inappropriate.

7. SMS / Text Messaging Terms

By providing your mobile phone number and consenting to receive SMS/text messages from UMe IDX and/or a real estate organization using UMe IDX, you agree to the following:

• You may receive recurring transactional and/or informational text messages related to your inquiries, account activity, property alerts, appointments, and similar service communications.
• Message frequency varies based on your activity and preferences.
• Message and data rates may apply.
• Consent to receive text messages is not a condition of purchasing any goods or services.
• You can cancel the SMS service at any time by texting STOP. After you send STOP, we will send a confirmation and you will no longer receive SMS messages from that program. To rejoin, follow the opt-in instructions again.

• Carriers are not liable for delayed or undelivered messages.
• Mobile information will not be shared with third parties or affiliates for their marketing or promotional purposes. See our Privacy Policy for more details.

8. Prohibited Uses

You may not use UMe IDX to:

• Violate any applicable law, regulation, or MLS rule
• Scrape, harvest, or systematically extract listings, leads, or other data except through permitted product features
• Transmit malware, spam, or unsolicited commercial messages
• Attempt unauthorized access to the Service, accounts, or related systems
• Interfere with or disrupt the Service or other users
• Misrepresent your identity, affiliation, or licensing status
• Use the Service for any purpose other than lawful real estate marketing, search, and related professional or consumer use

9. Subscriptions & Payments

Paid plans, trials, seats, and add-ons are billed according to the pricing and terms presented at purchase or in your account. Fees are generally non-refundable except where required by law or expressly stated otherwise. You authorize us and our payment processors to charge your selected payment method for applicable fees and taxes.

We may change pricing with notice as required by your plan or applicable law. Failure to pay may result in suspension or termination of access.

10. Intellectual Property

The Service — including software, design, trademarks, and original content — is owned by UMe IDX or its licensors and is protected by intellectual property laws. Listing photos, remarks, and related MLS content remain subject to the rights of the applicable MLS, brokers, and listing agents. These Terms do not transfer ownership of any intellectual property to you.

11. Service Availability

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. MLS feeds, third-party integrations, and messaging delivery can be affected by factors outside our control.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTING DATA IS COMPLETE, CURRENT, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMe IDX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO UMe IDX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless UMe IDX and its officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of applicable law or MLS rules.

15. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or if required by law, MLS rules, or risk to the platform. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

16. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. If a change is material, we will provide additional notice where reasonably practicable. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, unless applicable law requires otherwise. Courts located in Arizona will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by law.
